Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS ("TERMS") CAREFULLY BEFORE USING ANY SERVICES PROVIDED BY UNNAMED Social and Community Solutions Pte. Ltd. (UNNAMED Singapore).

This document constitutes a legally binding agreement ("Agreement") between you ("User," "Client," "Volunteer," "you") and UNNAMED Singapore ("we," "us," "our"), governing your access to and use of the website unnamed.sg ("Website") and all associated services provided by us (collectively, "Services").

By accessing, browsing, or using our Website or any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Website or Services.

You represent and warrant that you are of legal age to form a binding contract (or, if you are a minor, you have your parent's or legal guardian's permission to use the Services and your parent or legal guardian has agreed to these Terms on your behalf) and that you have the authority, right, and capacity to enter into and abide by these Terms.

1. DEFINITIONS

1.1. "Client" refers to any individual, parent, or guardian who engages our Services for 1-to-1 tuition for a student ("Student").

1.2. "Volunteer" refers to any individual who has been screened, trained, and approved by us to provide Services on a voluntary basis.

1.3. "Services" includes, but is not limited to, the provision of 1-to-1 tuition, community solutions, volunteerism programmes, and any other programmes or services offered through the Website or by UNNAMED Singapore.

1.4. "User" refers to any visitor or user of the Website, including Clients and Tutors.

2. DESCRIPTION OF SERVICES

2.1. Tuition Services: We provide a platform to facilitate 1-to-1 tuition Services delivered by our Volunteers. All Volunteers are screened, trained, and deployed in accordance with our strict internal standards and frameworks co-developed by industry experts including former MOE Educators.

2.2. Community Programmes: We offer and facilitate various community solutions, volunteerism opportunities, Corporate Social Responsibility solutions, and other programmes, all of which are subject to these Terms.

2.3. Programme-Specific Terms: Certain Services, including but not limited to community solutions and volunteerism programmes, may be subject to additional programme-specific terms and conditions ("Programme Terms"). Such Programme Terms will be provided to you upon engagement or request and are incorporated by reference into this Agreement.

3. TERMS APPLICABLE TO CLIENTS (TUITION SERVICES)

3.1. Rate Assessment and Equity: Clients acknowledge that all tuition rates are assessed on a client-need basis to ensure equity and equality among all recipients of our Services. UNNAMED Singapore reserves the sole discretion to determine rate eligibility.

3.2. Subsidised Rates: Clients who are granted subsidised rates acknowledge that these rates are subject to periodic reassessment. We reserve the right to amend or adjust subsidised rates following any such reassessment, based on updated information or changes in circumstances.

3.3. Agreement to Rates: Upon mutual agreement to a quoted rate (subsidised or otherwise), the Client is bound by this rate. The agreed-upon rate is non-negotiable for the duration of the Commitment Period.

3.4. Commitment Period: Clients agree to a minimum, non-terminable commitment period of six (6) consecutive months ("Commitment Period") for tuition Services or otherwise superseeded in your Specific Terms.

3.5. Changes to Agreement: No changes to the agreed-upon service structure, rates, or other material terms shall be permitted during the Commitment Period. After the expiry of the Commitment Period, any requests for changes must be submitted in writing to UNNAMED Singapore and are subject to written approval.

3.6. Payments: Clients agree to make timely payments for all fees associated with the Services, as agreed upon. Failure to make timely payments may result in, without limitation, the immediate suspension or termination of Services and the imposition of late payment fees as specified in your Specific Terms.

3.7. Specific Payment and Rate Terms: Clients acknowledge and agree that they are additionally bound by specific payment, fee, and rate terms ("Specific Terms") provided to them during their engagement call with UNNAMED Singapore. These Specific Terms are incorporated by reference and form an integral part of this Agreement.

3.8. No Private Arrangements: Clients are strictly prohibited from entering into any private fee-paying or other compensatory arrangements with Volunteers introduced by UNNAMED Singapore. All payments for Services must be made directly to UNNAMED Singapore in accordance with the agreed-upon payment terms. Any breach of this clause is a material breach of this Agreement and will result in immediate termination of Services. You acknowledge that such a breach causes significant damage to UNNAMED Singapore by circumventing our service model. Consequently, we reserve the right to impose a service recovery fee (as detailed in the Specific Terms) representing our costs of recruitment, screening, training, and matching.

3.9. Fraudulent Information: Our Services, particularly those offered at subsidised rates, are intended to support those in genuine need. Clients warrant that all information provided for the purpose of assessing financial ability and eligibility for subsidised rates is true, accurate, and complete. Any provision of false or fraudulent information to obtain subsidised rates will be subject to internal investigation. We reserve the right to terminate Services immediately, recover the full unsubsidised value of Services rendered retroactively from the commencement of the Services, and report the matter to the relevant legal authorities.

4. TERMS APPLICABLE TO VOLUNTEER TUTORS

4.1. Vetting Process: All prospective Tutors acknowledge and agree to undergo UNNAMED Singapore's mandatory screening, training, and deployment process. We reserve the right, in our sole discretion, to approve or reject any volunteer application.

4.2. Volunteer Status: Volunteers perform their duties on a strictly volunteer basis. This Agreement and the provision of Services do not create an employment, partnership, agency, or joint venture relationship between the Tutor and UNNAMED Singapore. Volunteers are not entitled to any salary, wages, or benefits associated with employment.

4.3. Code of Conduct: All Volunteers must adhere to UNNAMED Singapore's Volunteer Code of Conduct (which shall be provided separately) and all other policies and frameworks. Failure to comply may result in immediate removal from the programme.

4.4. Confidentiality: Volunteers shall maintain strict confidentiality regarding all information pertaining to Clients, Students, and the internal operations of UNNAMED Singapore.

4.5. Letter of Appointment: Upon confirmation, all volunteers are entitled to the protections, allowances, and terms of agreement as stipulated in their respective letters of appointment.

4.6. Corporate Directives: All volunteers acknowledge and agree to be bound by all of UNNAMED Singapore's Corporate Operations Directives, policies, and standard operating procedures as may be amended from time to time.

4.7. No Private Arrangements: Volunteers are strictly prohibited from soliciting or accepting any direct payments, fees, or private compensatory arrangements from Clients or Students. All allowances or reimbursements, if any, shall be handled exclusively by UNNAMED Singapore as per the Volunteer’s letter of appointment. Any breach of this clause may result in immediate termination and permanent barring from all UNNAMED Singapore programmes. Volunteers agree that such a breach causes significant damage to UNNAMED Singapore and its Clients. UNNAMED Singapore reserves the right to take legal action to recover damages. As well as the right to work with the relevant authorities and Clients for mediation and or recovery of damages.

4.8. Duty to Report (Safeguarding): Volunteers are mandatory reporters within our organisation. Volunteers must immediately report any concerns regarding a Student's welfare or safety, or any form of inappropriate conduct (whether by the Student, Client, or any other party) to UNNAMED Singapore's designated safeguarding officer or contact point, in accordance with our policies.

5. GENERAL USER OBLIGATIONS

5.1. You agree to use the Website and Services only for lawful purposes and in accordance with these Terms.

5.2. You agree to provide accurate, current, and complete information when registering or engaging with our Services and to update such information as necessary.

5.3. You are responsible for maintaining the confidentiality of any account information and are fully responsible for all activities that occur under your account.

6. INTELLECTUAL PROPERTY RIGHTS

6.1. All content, trademarks, logos, and materials on the Website are the exclusive property of UNNAMED Singapore or its licensors and are protected by Singaporean and international copyright and trademark laws.

6.2. You are granted a limited, non-exclusive, non-transferable license to access and use the Website and Services for personal, non-commercial purposes. You shall not copy, reproduce, distribute, or create derivative works from any content without our express prior written consent.

6.3. Ownership of Service-Related Materials: You acknowledge and agree that all materials, including but not limited to lesson plans, study guides, worksheets, notes, and curriculum (collectively, "Service Materials"), created by Tutors or other Users in connection with the Services are the sole and exclusive property of UNNAMED Singapore. As a condition of using the Services, you hereby assign to UNNAMED Singapore all right, title, and interest in and to such Service Materials, including all intellectual property rights therein.

7. PRIVACY POLICY

7.1. Our collection, use, and disclosure of personal data are governed by our Privacy Policy, which is available on our Website. By agreeing to these Terms, you also consent to the practices described in our Privacy Policy.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

8.1. Disclaimer of Warranties: The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted or error-free. We make no representations or warranties about the quality of the tuition, the suitability of the Tutor, or the academic outcomes of the Student. While UNNAMED Singapore conducts screening and training, we are not responsible for the conduct of any Tutor or Client, either online or offline. You engage with Tutors and Clients at your own risk.

8.2. Limitation of Liability: To the fullest extent permitted by law, UNNAMED Singapore, including its directors, officers, employees, and volunteers, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party (including Tutors or Clients) in connection with the Services; (c) any personal injury, property damage, or other harm resulting from your interaction with Tutors or Clients; (d) any unauthorized access to or use of our secure servers and/i or any and all personal information stored therein.

8.3. Maximum Liability: To the maximum extent permitted by law, in no event shall the aggregate liability of UNNAMED Singapore and its directors, officers, employees, and volunteers exceed the greater of: (a) the total fees, if any, paid by you to UNNAMED Singapore in the six (6) months preceding the event giving rise to the claim; or (b) one hundred Singapore dollars ($100.00 SGD).

9. INDEMNIFICATION

9.1. You agree to defend, indemnify, and hold harmless UNNAMED Singapore and its affiliates, officers, directors, employees, and volunteers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of this Agreement; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; (d) any claim that your conduct caused damage to a third party; or (e) your breach of any representation or warranty made by you in this Agreement.

9.2. Control of Defense: UNNAMED Singapore reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of UNNAMED Singapore.

10. TERMINATION

10.1. Right to Suspend: Notwithstanding any other provision in this Agreement, [UNNAMED Singapore] reserves the right, in its sole discretion or in consultation with a competent vendor and without notice, to immediately suspend your access to or use of the Services pending an investigation if we have a reasonable belief that: (a) you have breached this Agreement; (b) your continued participation poses a risk to UNNAMDED Singapore, our Users, or any third party; or (c) it is necessary to protect the integrity of our operations.

10.2. We reserve the right, in our sole discretion, to suspend or terminate your access to the Website and Services, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

10.3. Investigation and Penalties: We reserve the right, upon reasonable suspicion of any activity deemed detrimental to UNNAMED Singapore, its Users, Clients, or its operations, to conduct internal investigations. Such activities include, but are not limited to, breach of these Terms, fraudulent behaviour, or any action that may harm the reputation or interests of UNNAMED Singapore. We further reserve the right to impose appropriate penalties, up to and including immediate termination of your access to the Services, take legal action, and to report any suspected unlawful activities to the relevant authorities.

10.3. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. GOVERNING LAW AND JURISDICTION

11.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.

11.2. Good Faith Negotiation and Mediation: In the event of any dispute arising out of or in connection with this Agreement, the parties shall first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved within thirty (30) days, the parties agree to submit the dispute to the Singapore Mediation Centre (SMC) for mediation in accordance with the SMC's Mediation Procedure for the time being in force.

11.3. Exclusive Jurisdiction: Should mediation fail, or if injunctive relief is sought, the parties agree to submit to the exclusive jurisdiction of the courts of Singapore to resolve any legal matter arising from these Terms.

12. AMENDMENTS TO TERMS

12.1. We reserve the right to amend or modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

12.2. Your continued use of the Website or Services after any such changes constitutes your acceptance of the new Terms.

13. MISCELLANEOUS

13.1. Entire Agreement: This Agreement, together with the Privacy Policy and any Programme Terms or Specific Terms, constitutes the entire agreement between you and UNNAMED Singapore regarding your use of the Services, and supersedes all prior and contemporaneous oral or written agreements, proposals, or representations.

13.2. Severability: If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if not possible, shall be severed. The remaining provisions of this Agreement shall remain in full force and effect.

13.3. No Waiver: The failure of UNNAMED Singapore to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of any provision of this Agreement will be effective only if in writing and signed by an authorised representative of UNNAMED Singapore.

13.4. Force Majeure: UNNAMED Singapore shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond UNNAMED Singapore's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation, acts of God, war, terrorism, riots, government-mandated lockdowns, or natural disasters.
